With increasingly difficult economic circumstances placing employees under more financial stress, employers need to recognize the value of their trade secrets and other intellectual property, which provide a competitive advantage. Companies must act to protect these valuable assets, which include customer lists, financial data and proprietary techniques for doing business . Misappropriation of such property may have a devastating effect on the employer's ongoing business. This discussion will help identify what constitutes proprietary information, and provide tips and strategies needed to avoid or navigate problematic departures such as:

• Identifying potential causes of action (patent, copyright, and trademark infringement, trade secret misappropriation, unfair competition)
• Preserving confidentiality of proprietary information
• Drafting Non-compete agreements, restrictive covenants, and understanding limits inherent in the employee's rights to earn a living
• Best practices in employment agreements

Andrea Calvaruso, Esq.
Andrea Calvaruso is a partner in the firm's New York office, and chair of the Trademark and Copyright Practice. She represents a broad base of clients in connection with trademark, copyright and trade dress disputes, and intellectual property-related agreements. Ms. Calvaruso counsels clients on how to protect their trade secrets and other IP assets and on matters including evaluation of ownership interests, licensing issues, promoting and enforcing intellectual property rights, trademark search evaluations, U.S. copyright filings, and domestic and international trademark filings.

Rob Steiner, Esq.
Rob Steiner is a partner in the firm’s New York office. He focuses his practice on commercial litigation matters. Mr. Steiner counsels and represents domestic and international clients in a variety of complex commercial disputes, including breach of contract and fraud claims, cases involving securities violations, unfair competition, theft of trade secrets and employment-related issues, among other areas. Mr. Steiner also has represented and advised popular entertainers in claims against their insurers arising out of the insurers’ non-payment of tour cancellation insurance coverage.
